These Terms of Service ("Terms") govern your access to and use of the PayDown mobile application and related services ("Service") operated by EZBay ("EZBay," "we," "us," or "our"). Please read them carefully before using PayDown.

1. Acceptance of Terms
By downloading, installing, creating an account, or otherwise using the PayDown application, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, do not use the Service.
Your continued use of PayDown after any modification to these Terms constitutes acceptance of the revised Terms. We will notify you of material changes as described in Section 12.
2. Description of Service
PayDown is a personal finance tracking tool that helps users understand the true cost of credit card purchases by modeling how interest accrues and is allocated across billing cycles and individual transactions. The Service connects to financial institutions through Plaid to import transaction and balance data.
PayDown is provided for informational and educational purposes only. Nothing in the Service constitutes financial, investment, tax, or legal advice, and nothing should be construed as a recommendation to make any financial decision. EZBay is not a financial advisor, broker, dealer, investment advisor, or regulated financial service provider. Always consult a qualified financial, tax, or legal professional before making financial decisions.
The Service does not provide investment recommendations, credit counseling, debt management plans, or any other regulated financial service.
3. Account Registration and Security
3.1 Eligibility
You must be at least 18 years of age to create an account. In jurisdictions where the minimum age is lower, users between the age of 13 and 18 may use the Service only with the verifiable consent of a parent or legal guardian. By creating an account, you represent and warrant that you meet the applicable age requirement.
3.2 Account Credentials
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate, current, and complete information during registration;
- Keep your registration information up to date;
- Notify us immediately at support@ezbay.com if you suspect unauthorized use of your account;
- Not share your credentials with any third party.
3.3 Biometric Authentication
PayDown may offer optional biometric authentication (Face ID, Touch ID, or equivalent) as a convenience feature. Use of biometric authentication is entirely optional. Biometric data is processed locally on your device by your device's operating system and is never transmitted to or stored by EZBay.
3.4 Account Deletion
You may request deletion of your account at any time by emailing support@ezbay.com. Account deletion and the associated handling of your data will follow the retention schedule described in our Privacy Policy.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the application or its underlying systems;
- Scrape, crawl, or systematically extract data from the Service or its APIs without express written permission from EZBay;
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
- Attempt to gain unauthorized access to any account, system, or network associated with the Service;
- Introduce malware, viruses, or other harmful code into the Service;
- Use the Service to harass, abuse, or harm any other person;
- Use the Service for any commercial purpose not expressly authorized by EZBay.
EZBay reserves the right to investigate and take appropriate action against any user who, in EZBay's sole discretion, violates this section, including suspending or terminating the user's account and reporting to law enforcement.
5. Financial Data and Third-Party Services
5.1 Plaid Integration
PayDown uses Plaid Inc. ("Plaid") to facilitate connections to your financial institution(s). By connecting a bank account or credit card through PayDown, you authorize Plaid — not EZBay — to access your financial institution data on your behalf. EZBay does not store your banking credentials. Your financial institution credentials are transmitted directly to Plaid and are governed by Plaid's own security practices.
By connecting a financial account, you also agree to Plaid's End User Privacy Policy. EZBay is not responsible for Plaid's data practices, security measures, or any actions or omissions by Plaid.
5.2 Right to Revoke Plaid Access
In accordance with CFPB Section 1033 and applicable financial data rights, you have the right to revoke PayDown's access to your financial data through Plaid at any time. You may do so directly within the PayDown application or by contacting us at support@ezbay.com. Revoking access will disconnect your linked accounts and stop further data retrieval; data already retrieved will be handled per our Privacy Policy.
5.3 Data Accuracy
The financial data displayed in PayDown depends on the availability and accuracy of data provided by your financial institution through Plaid's APIs. EZBay makes no guarantee that the data is accurate, complete, current, or error-free. Data may be delayed, incomplete, or unavailable during bank API outages, maintenance windows, or other circumstances beyond EZBay's control. PayDown's interest calculations are estimates based on the data available and the assumptions of the calculation model; they may not match your card issuer's figures exactly.
5.4 No Financial Advice
Nothing displayed in or generated by PayDown — including calculations, projections, interest estimates, payoff timelines, AI-generated coaching emails, or any other output — constitutes financial, investment, tax, or legal advice. EZBay is not a licensed financial advisor, broker-dealer, investment adviser, credit counselor, or debt management service. Decisions about your finances are solely your responsibility. Consult a qualified professional before acting on any information provided by the Service.
5.5 Google Analytics
The EZBay website uses Google Analytics to collect anonymized usage statistics. IP addresses are anonymized. For more information, see our Privacy Policy.
5.6 Shared Card Access
PayDown allows account holders ("Owners") to share read-only access to their credit card data with other PayDown users ("Viewers"). This section describes the rights, responsibilities, and limitations governing shared access.
5.6.1 Owner Responsibilities
As an Owner, you are responsible for the financial data you share. You agree to:
- Only share data that belongs to you or that you are legally authorized to share (for example, a credit card held jointly with a spouse);
- Manage and monitor who has access to your data and revoke access promptly when appropriate (e.g., in the case of separation, divorce, or changed circumstances);
- Notify users before revoking access if the relationship changes in a way that affects your desire to continue sharing.
5.6.2 Viewer Responsibilities
As a Viewer, you agree to use shared data responsibly and in compliance with these Terms:
- Use shared financial data for personal, non-commercial purposes only;
- Not copy, export, download, screenshot, or redistribute another user's financial data to third parties;
- Not disclose the Owner's financial information to anyone without their explicit consent;
- Respect the Owner's privacy and the confidential nature of shared data.
5.6.3 Read-Only Access
Viewers have read-only access to shared card data. Viewers cannot:
- Modify, edit, or delete any of the Owner's transactions, payments, or data;
- Sync shared cards with the Owner's bank account or Plaid connection;
- Change the Owner's settings or account configuration;
- Access the Owner's bank credentials, Plaid access tokens, or account connection details.
5.6.4 Revocation and Removal
The Owner may revoke a Viewer's access at any time through the PayDown Settings page. Revocation is immediate — the Viewer will no longer be able to access the shared data. Additionally, a Viewer may remove a shared card from their own account at any time, ending their access to that card's data. Removal by the Viewer is not the same as deletion from the Owner's account.
5.6.5 No Guarantee of Accuracy
EZBay does not guarantee the accuracy, completeness, timeliness, or availability of shared data. The data displayed to Viewers is subject to the same limitations as the Owner's view (see Section 5.3: Data Accuracy). EZBay is not liable for any decisions, actions, or losses a Viewer incurs based on shared financial information.
5.6.6 Account Deletion Cascade
If an Owner deletes their account, all associated sharing relationships are automatically terminated. Viewers will no longer have access to any of the Owner's shared data.
6. Intellectual Property
6.1 EZBay Ownership
The Service, including all software, algorithms, text, graphics, logos, icons, user interfaces, and the compilation thereof, is the exclusive property of EZBay and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by EZBay.
6.2 Limited License to User
Subject to your compliance with these Terms, EZBay grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use PayDown on a device you own or control, solely for your personal, non-commercial purposes.
6.3 User Data
You retain ownership of your personal financial data that you input into or import into PayDown. By using the Service, you grant EZBay a limited license to process that data solely to provide and improve the Service, as described in our Privacy Policy.
7. Disclaimers and Limitation of Liability
7.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. EZBAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7.2 No Liability for Financial Decisions
EZBAY IS NOT LIABLE FOR ANY FINANCIAL DECISIONS, LOSSES, OR DAMAGES THAT ARISE FROM YOUR RELIANCE ON INFORMATION OR CALCULATIONS PROVIDED BY THE SERVICE. YOU ACKNOWLEDGE THAT ALL FINANCIAL DECISIONS ARE MADE AT YOUR OWN RISK.
7.3 No Liability for Third-Party Services
EZBAY IS NOT LIABLE FOR ANY ACTS, OMISSIONS, DATA BREACHES, OR SERVICE FAILURES OF PLAID, YOUR FINANCIAL INSTITUTION, GOOGLE, APPLE, OR ANY OTHER THIRD-PARTY SERVICE PROVIDER CONNECTED TO THE SERVICE.
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EZBAY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE — WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL FEES PAID BY YOU TO EZBAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL EZBAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.5 AI-Generated Content
Certain features of PayDown, including the financial coaching email and the Monthly Spending Review email, use artificial intelligence to generate personalized content. AI-generated content is provided for informational purposes only and does not constitute financial, investment, tax, or legal advice. AI-generated analyses and recommendations may contain errors or inaccuracies. You should not rely solely on AI-generated content when making financial decisions. EZBay is not responsible for any actions you take based on AI-generated content.
7.6 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, the disclaimers and limitations above apply only to the extent permitted by applicable law. See the Regional Supplements in Section 14 for jurisdiction-specific provisions.
8. Indemnification
You agree to defend, indemnify, and hold harmless EZBay, its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Service;
- Your violation of any applicable law or the rights of any third party;
- Any data you submit to or through the Service.
9. Termination and Account Deletion
9.1 Termination by EZBay
EZBay may suspend (disable) or terminate your access to the Service, in whole or in part, at any time and without prior notice, if EZBay reasonably believes you have violated these Terms or any applicable law, or for any other reason at EZBay's sole discretion. Suspension blocks access to your account while retaining your data; termination results in permanent account and data deletion. Where practicable, EZBay will provide notice of the reason for suspension or termination. EZBay may also revoke all active sessions associated with your account at any time for security purposes, which will require you to log in again.
If your account is suspended, you may appeal the suspension by contacting EZBay Support at support@ezbay.com with details of your appeal. We will review suspension appeals within 10 business days.
9.2 Termination by You
You may stop using the Service and delete your account at any time by emailing support@ezbay.com. Uninstalling the application from your device does not automatically delete your account or data held on our servers.
9.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 6, 7, 8, 10, and 11 — shall survive. Your data will be handled in accordance with the retention schedule in our Privacy Policy.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles. Regional overrides may apply — see Section 14.
10.2 Informal Resolution
Before initiating any formal dispute process, you agree to first contact EZBay at support@ezbay.com and allow EZBay 30 days to attempt to resolve the dispute informally ("Notice and Cure Period"). This requirement does not apply to claims for emergency injunctive relief.
10.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in English and, unless otherwise required, on a documents-only basis.
Exceptions to mandatory arbitration: (a) either party may bring claims in small claims court if the claim qualifies; (b) either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
10.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST EZBAY. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Regional exceptions to the class action waiver may apply. See the California supplement in Section 14.
10.5 Venue
For any claims that are not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.
11. App Store Provisions (Apple & Google)
PayDown is distributed through the Apple App Store and Google Play Store. The following provisions are required by Apple Inc. and Google LLC and apply to your use of PayDown when downloaded from those stores.
Apple App Store & Google Play — Required Disclosures
- These Terms are between you and EZBay only, and not with Apple Inc. or Google LLC. Apple Inc. and Google LLC are not parties to these Terms and are not responsible for the PayDown application or its content.
- Apple Inc. and Google LLC have no obligation whatsoever to furnish any maintenance or support services with respect to PayDown.
- In the event of any failure of PayDown to conform to any applicable warranty, you may notify Apple or Google, as applicable, and Apple or Google will refund the applicable purchase price for the application to you. To the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever with respect to PayDown.
- Apple Inc. and Google LLC are not responsible for addressing any claims by you or any third party relating to PayDown or your possession and/or use of PayDown, including but not limited to: (a) product liability claims; (b) any claim that PayDown fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.
- In the event of any third-party claim that PayDown or your possession and use of PayDown infringes that third party's intellectual property rights, EZBay — not Apple Inc. or Google LLC — will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
- Apple Inc. and Google LLC are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple Inc. and Google LLC will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
- In the event of any conflict between these Terms and the Apple App Store Terms of Service or Google Play Terms of Service, the applicable App Store or Play Store Terms shall govern with respect to that conflict.
- Any in-app purchases made through PayDown are governed by the Apple App Store payment terms or Google Play payment terms, as applicable.
12. Changes to Terms
EZBay reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via the email address associated with your account or by a prominent in-app notice. Non-material changes (such as clarifications or corrections that do not affect your rights) may be made without prior notice.
Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account as described in Section 9.2.

14. Regional Supplements
The supplements below modify or supplement the general Terms for users in specific jurisdictions. Where a supplement conflicts with the general Terms, the supplement governs for users in that jurisdiction to the extent required by applicable law.
United States
The arbitration clause in Section 10.3 is governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. § 1 et seq. The class action waiver in Section 10.4 is fully enforceable under applicable federal and state law except where expressly prohibited. Governing law for U.S. users: State of Delaware.
California, United States
In addition to rights under our Privacy Policy, California consumers may have rights under the California Consumer Privacy Act ("CCPA") as further described in our Privacy Policy.
California Civil Code Section 1789.3: California residents are entitled to the following specific consumer rights notice — The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at 1-800-952-5210. You may also contact EZBay at support@ezbay.com.
Arbitration class action waiver: pursuant to Iskanian v. CLS Transportation Los Angeles, LLC, 59 Cal.4th 348 (2014), the class action waiver in Section 10.4 may not apply to California residents in certain circumstances involving representative Private Attorneys General Act ("PAGA") claims. Nothing in these Terms is intended to waive any non-waivable right under California law.
Canada
For Canadian users, disputes arising from these Terms may also be governed by the laws of the Province of Ontario, Canada, in addition to or in lieu of Delaware law. Canadian consumer protection legislation may provide rights that are not limited by these Terms.
Quebec residents: additional rights may apply under the Consumer Protection Act (Loi sur la protection du consommateur). A French version of these Terms is available upon request — version française disponible sur demande. Please contact support@ezbay.com.
Mexico
Las presentes condiciones también se rigen por la legislación aplicable de los Estados Unidos Mexicanos. Los usuarios en México tienen derechos adicionales conforme a la Ley Federal de Protección al Consumidor. Para disputas o quejas, puede contactar a la Procuraduría Federal del Consumidor (PROFECO) en www.profeco.gob.mx.
These Terms are also governed by applicable law of the United Mexican States. Users in Mexico have additional rights under the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor). For disputes, you may contact the Federal Consumer Protection Agency (PROFECO).
United Kingdom
For users in the United Kingdom, these Terms shall be governed by and construed in accordance with the laws of England and Wales. UK consumer protection laws, including the Consumer Rights Act 2015, apply to UK consumers and are not limited or excluded by these Terms.
UK consumers retain the right to bring claims in the courts of England and Wales. The mandatory arbitration clause in Section 10.3 does not apply to claims brought by UK consumers where applicable law grants a right to court access.
European Union
EU consumer protection laws — including the Consumer Rights Directive (2011/83/EU) and the Unfair Contract Terms Directive (93/13/EEC) — apply to EU consumers and cannot be excluded by these Terms. EU users retain the right to bring claims in the courts of their country of residence.
For EU users, where mandatory local law requires a different governing law, the laws of the user's country of residence shall apply to the extent of that mandatory requirement. The limitation of liability provisions in Section 7 apply only to the extent permitted by applicable EU law.
Online Dispute Resolution: the European Commission provides an Online Dispute Resolution platform accessible at ec.europa.eu/consumers/odr.
Germany
For German users, these Terms are subject to mandatory German law where applicable. Statutory warranty rights (gesetzliche Gewährleistung) under the Bürgerliches Gesetzbuch (BGB) are not excluded by these Terms.
The limitation of liability clauses in Section 7 are subject to German mandatory law and do not apply to liability for willful misconduct or gross negligence, for damages resulting from injury to life, body, or health, or as otherwise required by applicable German law.
Alternative dispute resolution: the EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. The German General Consumer Arbitration Board (Allgemeine Verbraucherschlichtungsstelle) may also be available. EZBay is not obligated to participate in alternative dispute resolution proceedings but will consider requests on a case-by-case basis.
Japan
For Japanese users, Japanese law applies to the extent required by mandatory provisions of the Consumer Contract Act (消費者契約法). The limitation of liability clauses in Section 7 are subject to Article 8 of the Consumer Contract Act and do not exclude or limit liability for damages caused by EZBay's intentional conduct or gross negligence where such exclusion is prohibited by that Act.
Dispute resolution: the Tokyo District Court shall have non-exclusive jurisdiction for Japanese users for any claims not subject to arbitration under applicable Japanese law.
